Typical Waterfall Cash Flow:
1. First, to pay debt service
2. Next, to pay investors an ~8.5% cumulative compounded preferred return
3. Next, to pay the sponsor an ~8.5% cumulative compounded return
4. Then excess cash distributed ~2/3 to sponsor, ~1/3 to investor

Capital Transactions:
1. First, to repayment of senior debt
2. Next, return of investor equity with a >8.5% IRR lookback
3. Next, return of sponsor equity with a >8.5% IRR lookback
4. Then, ~2/3 to sponsor, ~1/3 to investor

Equity Program #4

Successful, independent Sponsors drive a significant portion of real estate transactions in the <$10mm equity market

  • They regularly have needs for bridge equity (~2 years) but solutions that exist typically require Sponsors to take on long‐term equity partners
  • At the same time, these Sponsors have accumulated equity value in portfolios of real estate assets that are not easily leveraged

Provide equity bridge solutions through “Structured Equity” with pricing that allows Sponsors to own 100% of the assets following repayment

  • Invest up to 100% of the required equity in a transaction but require Sponsors to collateralize investment with other assets having value of 2x + of investment
  • Invest as preferred equity that has contingent control rights in a transaction where we are looking to provide $4M of equity capital, for example, we would look for 2x ($8M) collateral coverage from the equity in owned cash flowing collateral properties.  with first and second mortgages to 80% LTV, We look to secure those collateral assets with a purchase option, which works better with assets that are wholly owned, or near-wholly owned, by the group we are partnering with. In some cases, we have found that our partners are able to work with their 3rd party partners in the collateral assets to sign on as well in order to bring the ownership percentage up.
